1. Agreement to Terms

By accessing or using AccountsOS ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These terms apply to all users of the Service, including business owners, directors, and authorized team members.

2. Description of Service

AccountsOS is an AI-powered accounting software designed for UK limited company directors. The Service provides:

• Automated bookkeeping and expense categorization
• Bank transaction import via statement upload
• Tax calculation and deadline tracking
• Receipt capture and storage
• Financial reporting and insights
• Filing preparation assistance

3. Important Disclaimer

You are ultimately responsible for the accuracy of your tax returns and filings. We provide calculations and preparation assistance, but final submission responsibility rests with you.

4. User Accounts

• You must provide accurate, complete registration information
• You are responsible for maintaining account security
• You must notify us immediately of any unauthorized access
• One account per company (team members can be added)
• You must be 18 or older to use the Service
• You must be a UK company director or authorized representative

5. Subscription and Payment

Pricing

• Current pricing: £19/month (subject to change with notice)
• Payments processed securely via Stripe
• VAT will be added where applicable

Billing

• Subscriptions are billed monthly in advance
• Payment is due on the same date each month
• Failed payments may result in service suspension

Refunds

During Early Access, AccountsOS is free. When paid plans launch, we offer a 30-day money-back guarantee for new subscribers. After this period, refunds are at our discretion. Contact support for refund requests.

6. Acceptable Use

You agree not to:

• Use the Service for illegal purposes or tax evasion
• Upload false or fraudulent financial information
• Attempt to gain unauthorized access to our systems
• Share your account credentials with unauthorized users
• Reverse engineer or copy our software
• Use the Service to harm others or their businesses
• Overload our systems with excessive requests

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

• You retain ownership of your financial data
• You grant us license to process your data to provide the Service
• You can export your data at any time
• We will not sell your data to third parties

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by AccountsOS and protected by international copyright, trademark, and other intellectual property laws. Our AI models, algorithms, and software remain our exclusive property.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• We are not liable for tax penalties arising from your filings
• Our total liability is limited to fees paid in the last 12 months
• We provide the Service "as is" without warranties of any kind

10. Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may perform maintenance with reasonable notice. Third-party integrations (banks, HMRC) may have their own availability constraints outside our control.

11. Termination

• You may cancel your subscription at any time
• We may terminate accounts that violate these terms
• Upon termination, you have 30 days to export your data
• We retain financial records for 7 years as required by law

12. Changes to Terms

We reserve the right to modify these terms at any time. We will provide at least 30 days notice for material changes via email or in-app notification. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales. If any provision is found unenforceable, the remaining provisions continue in effect.
