Annual Confirmation Statement (Companies Registry)
Isle of Man companies incorporated under the Companies Acts must file an Annual Confirmation Statement (formerly Annual Return) with the Isle of Man Companies Registry each year, confirming current company details including directors, shareholders, registered address, and company type.
Who this applies to
- All Isle of Man companies incorporated under the Companies Act 2006 (IoM)
- Isle of Man companies incorporated under the Companies Acts 1931β2004 still in existence
- Isle of Man Foundations must file an annual return with the Registry
- Exempt companies subject to their specific filing obligations
What to file
Annual Confirmation Statement confirming: company name and registered number, registered office address, directors and secretary details, shareholder information (names, addresses, shares held), and company type. Any changes during the year should already have been filed β the confirmation statement confirms that the register is up to date.
How to file
Online via the Isle of Man Companies Registry portal at registry.iomannl or through the company's registered agent. Registered agents typically handle this as part of their annual service.
Payment due
Filing fee of Β£380 (online, 2024/25 rate). Paper filing fees are higher. Registered agents often bundle this fee into their annual retainer.
Penalties for missing this deadline
Failure to file the annual return leads to the company being struck off the register after appropriate notice. A struck-off company loses its legal standing and the name becomes available for re-use. Restoration is possible but incurs significant costs and court involvement.
Filing checklist

Common mistakes to avoid
- Relying on the registered agent to file automatically without confirming with them β some agents require a specific instruction each year
