Jahresabschluss Bundesanzeiger Filing (Annual Accounts Publication)

German GmbHs and AGs must publish their annual financial accounts (Jahresabschluss) in the Bundesanzeiger (federal official gazette) within 12 months of the financial year end. This commercial disclosure obligation is separate from the tax return filings and enforced by the Bundesamt für Justiz.

  • GmbH (including UG haftungsbeschränkt)
  • AG (Aktiengesellschaft)
  • SE (Societas Europaea)
  • KGaA and other Kapitalgesellschaften
  • GmbH & Co. KG (partnerships with corporate general partner)
  • Listed companies have shorter deadlines under EU Transparency Directive

What to file

At minimum: Bilanz (balance sheet) and GuV (P&L). Smaller GmbHs (Kleinstkapitalgesellschaften — two of three: balance sheet ≤€450,000, revenues ≤€900,000, ≤10 employees) need only file the Bilanz. Medium and large GmbHs must also publish an Anhang (notes) and Lagebericht (management report). Large entities require a Bestätigungsvermerk (auditor's report).

How to file

Via the online Unternehmensregister portal at bundesanzeiger.de using the Bundesanzeiger-Verlag's electronic filing system. Authentication via ELSTER certificate or personal registration. Alternatively, a Steuerberater or Wirtschaftsprüfer can file on behalf. Filing fee: €18.50 for Kleinstkapitalgesellschaften (reduced disclosure); higher fees for full disclosure.

Payment due

Filing fee payable on submission. There is no tax payment associated with this filing — it is a commercial disclosure obligation only.

Penalties for missing this deadline

Non-filing triggers automatic Ordnungsgeld proceedings (penalty notice) from the Bundesamt für Justiz. Initial penalty: €2,500. Repeated non-filing: up to €25,000 per year. The BfJ actively monitors and issues Ordnungsgelder systematically — there is no human discretion in enforcement. Penalties apply per year and per entity.

  • Annual accounts (Jahresabschluss) formally adopted by shareholder resolution (Gesellschafterbeschluss)
  • Minutes of the shareholder meeting documenting adoption of accounts
  • Determine size class: Kleinstkapitalgesellschaft, klein, mittelgroß, groß — determines what must be published

Common mistakes to avoid

  • Confusing the Bundesanzeiger filing with the tax filing — these are completely separate obligations with different deadlines and authorities
  • Missing the deadline by waiting for the tax assessment — the Bundesanzeiger deadline is independent of the tax deadline
  • Filing as Kleinstkapitalgesellschaft (Bilanz only) when the size thresholds have actually been exceeded — medium entity disclosure requires Anhang
  • Not tracking Ordnungsgeld notices which sometimes get overlooked and escalate automatically
