What is a Confirmation Statement?

A Confirmation Statement (previously called the Annual Return) is a yearly snapshot of your company's information. It confirms to Companies House that the details they hold about your company are accurate and up-to-date.

Unlike the Annual Accounts (which show financial performance), the Confirmation Statement is about your company's structure: who owns it, who runs it, and where it's based.

Key Point

Even if nothing has changed since your last filing, you still need to file a Confirmation Statement to confirm the information is still correct.

When to File

You must file your Confirmation Statement at least once every 12 months. The "review period" runs from either:

  • The date of incorporation (for first filing)
  • The date your last confirmation statement was made up to

Example: If your company was incorporated on 15 March 2024, your first confirmation statement is due by 29 March 2025 (12 months + 14 days).

Can I file my confirmation statement early?

Yes, you can file at any time during your review period. Filing early shortens the review period — your next due date will be 12 months from when you filed.

What if I need to update information before filing?

You should file separate forms to update specific information (like CH01 for director changes) before filing your confirmation statement.

Is the confirmation statement the same as annual accounts?

No. Annual Accounts show your financial position and are filed separately. The Confirmation Statement confirms your company structure (directors, shareholders, address, etc.).

What's the difference between CS01 and the old Annual Return?

The CS01 replaced the Annual Return in 2016. It's simpler — you only confirm information is correct rather than re-entering everything.

New for 2025: Identity Verification Required

From Spring 2025, all company directors must verify their identity with Companies House and include their personal code when filing confirmation statements. Your filing will be rejected without valid personal codes for all directors.
