NDA Reminder Template for Exit Interviews (UK 2025)

Last updated: February 2025

When You Need This Contract

While not a new NDA, an exit interview confidentiality reminder reinforces the departing employee's ongoing obligations under their existing NDA and employment contract confidentiality clauses. This document confirms what information remains confidential after departure, requires the return of all company materials and data, and serves as an important evidence trail that the employee was reminded of their obligations. It can be critical evidence if a breach occurs after departure.

Key Clauses

  • Confirmation of ongoing confidentiality obligations post-departure
  • Return of all company materials, devices, data, and access credentials
  • Specific reminder of the most sensitive information accessed during employment
  • Acknowledgement that the employee understands their continuing obligations
  • Contact information for questions about ongoing obligations

What to Watch Out For

  • Making the exit interview adversarial or threatening, which reduces cooperation and may create legal challenges
  • Not obtaining a signed acknowledgement from the departing employee confirming they understand their ongoing obligations

Sample Clauses

  • Sample exit reminder clause: 'This letter confirms your ongoing confidentiality obligations following the end of your employment on [date]. Under your employment contract dated [date] and NDA dated [date], you remain bound by confidentiality obligations covering [specified categories]. These obligations continue for [X] years after your departure, with trade secrets protected indefinitely.'
  • Sample return clause: 'You confirm that you have returned all Company property including laptop, phone, access cards, keys, documents, and any copies of Company information. You confirm that you have deleted all Company data from personal devices and cloud storage accounts. You have returned the following items: [checklist].'

FAQ

Is an exit interview NDA reminder legally necessary?

It is not strictly legally necessary if the employee already signed an NDA or has confidentiality clauses in their contract. However, it is extremely valuable as evidence that the employee was clearly reminded of their ongoing obligations, aware of what information is confidential, and given the opportunity to ask questions. If a breach occurs, the reminder strengthens the employer's position by demonstrating the employee's knowledge and acknowledgement of their obligations.

What should the departing employee return at the exit interview?

All company property including electronic devices, access cards, keys, documents, and files. Importantly, also require deletion of company data from personal devices, personal email accounts, and cloud storage. Have the employee sign a checklist confirming each item has been returned and all data has been deleted. Change all passwords and access credentials that the departing employee may know.
