ASIC Annual Review
ASIC sends every Pty Ltd a annual review notice on the anniversary of registration. The company must check details, pay the annual review fee, and pass a solvency resolution within 2 months.
Who this applies to
- All registered Australian companies (Pty Ltd, Public, NL, etc.)
- Including dormant companies
What to file
Pay the annual review fee. Update any changed details (directors, address, share structure). Hold and minute the solvency resolution.
How to file
Pay via the ASIC portal using the company's invoice number, or by direct debit.
Payment due
Within 2 months of the review date. Annual fee A$321 (Pty Ltd, FY25), A$1,496 (Public).
Penalties for missing this deadline
Late fee A$96 (1 month late) or A$401 (more than 1 month). Persistent default can trigger deregistration. Director liability if solvency resolution is not passed when company is insolvent.
Filing checklist
- Receive ASIC annual review package (post or email)
- Verify all company details are correct
- Pay the annual review fee within 2 months
- Hold directors' meeting and pass solvency resolution
- Minute the resolution and keep with company records
Common mistakes to avoid
- Treating it as just a fee invoice — solvency resolution is mandatory
- Missing director address or share changes that should be lodged separately
- Letting fees fall due to A$401 late penalty
