# URSB Annual Return

Country: Uganda
When: Within 42 days after the annual general meeting for the year.

Every company files an annual return with the Uganda Registration Services Bureau. It keeps the public register up to date. Banks and customers often check the register before they deal with a company, so keeping it current is worth the small effort.

## Who this applies to

- Private and public companies, single member companies
- Foreign companies registered in Uganda file their own annual return

## What to file

Details of directors, shareholders, registered address and company structure. The return is a snapshot of the company on the date it is made up to, so it should match the registers kept by the company.

## How to file

Online through URSB e-services. AccountsOS has no URSB integration and does not file it. Finn keeps the date on your calendar, reminds you before it falls due and shows the figures from the books your accountant needs.

## Payment due

The URSB filing fee, which differs between URSB pages; check the current fee schedule. The fee is paid when the return is filed.

## What happens if you miss it

Fines, and after long default the company can be struck off the register.

## Submission checklist

- Hold the AGM
- Update director and shareholder details
- File within 42 days
- Pay the fee
- Check the registered office address is current
- Keep the URSB receipt with the company records
- Approve the accounts at the AGM

## Documents you need

- AGM minutes
- Register of members and directors
- Details of any changes to directors or shares in the year
- The company's registration number
- Your URSB e-services login

## Common mistakes to avoid

- Not filing because the company was dormant
- Forgetting to tell AccountsOS the AGM date so the reminder is set
- Filing changes to directors late, separately from the annual return
- Not holding an AGM, so the 42-day clock is never started
- Listing a director who resigned without filing the change
- Filing with an old registered office address
