# ASIC Annual Review

Country: Australia
When: Within 2 months of the anniversary of company registration.

ASIC sends every Pty Ltd a annual review notice on the anniversary of registration. The company must check details, pay the annual review fee, and pass a solvency resolution within 2 months. Pty Ltd companies must also pass a solvency resolution each year. ASIC can deregister a company that does not pay its annual review fee, and directors who fail to keep company details up to date can be penalised. Some changes, such as a new director or a change of registered office, must be lodged within 28 days and are not left for the annual review.

## Who this applies to

- All registered Australian companies (Pty Ltd, Public, NL, etc.)
- Including dormant companies

## What to file

Pay the annual review fee. Update any changed details (directors, address, share structure). Hold and minute the solvency resolution. Confirm that the company's registered office, principal place of business, officeholders, shareholders and share structure match ASIC records.

## How to file

Pay via the ASIC portal using the company's invoice number, or by direct debit.

## Payment due

Within 2 months of the review date. From 1 July 2026 the annual review fee is A$342 for a proprietary company and A$1,591 for a public company. ASIC indexes the fee each 1 July, so confirm the amount on the statement.

## What happens if you miss it

Late fee A$102 up to one month late and A$428 more than one month late (2026-27 amounts). Persistent default can trigger deregistration. Director liability if solvency resolution is not passed when company is insolvent.

## Submission checklist

- Receive ASIC annual review package (post or email)
- Verify all company details are correct
- Pay the annual review fee within 2 months
- Hold directors' meeting and pass solvency resolution
- Minute the resolution and keep with company records
- Check that each director has a valid Director ID

## Documents you need

- ASIC annual review statement with the unique company password or Corporate Key
- Share register and list of members
- Director ID for each director
- Minutes of the solvency resolution

## Common mistakes to avoid

- Treating it as just a fee invoice: solvency resolution is mandatory
- Missing director address or share changes that should be lodged separately
- Letting the fee run past one month and paying the higher late fee
